Terms of service

These General Terms and Conditions (the "Terms") apply to a customer's subscription to the MakesEvent software and professional services (the "Services"), provided by Thousand Miles (Solution) Limited ("MakesEvent", "we", "us", "our"). These Terms must be read together with, and form part of, any agreement entered into between the customer and us (the "Customer Agreement").
Account use and access
- The customer is entitled to use the Services on a non-exclusive subscription basis during the term.
- The customer warrants that the information provided to us is true, accurate and current, and should periodically review and update account information.
- The customer must implement appropriate security measures to protect the account, including regular password changes, and must not share passwords or accounts. The customer is solely responsible for protecting the password; we are not liable for any loss or damage arising from unauthorised access caused by password leakage.
Attendee quotas and billing
The customer's attendee quota and number of events that can be created depend on the subscribed plan, as detailed on the "Pricing" page of the MakesEvent website.
- Each plan has a per-month/per-event attendee cap and an event-creation cap.
- When a plan limit is exceeded, the customer must upgrade to a higher plan to continue using the relevant features.
- All plans count attendees "per event" (including walk-ins and manually added back-office entries). A registration counts toward the quota when submitted, even if later cancelled or absent.
- Unused quota is non-transferable, non-carry-forward and non-refundable.
MakesEvent reserves the right to adjust pricing plans and quotas at any time, with prior notice to existing customers.
Cancellation and breach
Cancellation or breach of these Terms by the customer immediately triggers MakesEvent's right to recover all unpaid amounts (including taxes) under the Customer Agreement, and to retain all amounts received to offset the debt. The customer agrees this paragraph constitutes reasonable liquidated damages and not a penalty.
Indemnity
The customer agrees to indemnify and hold harmless MakesEvent (and its directors, employees, etc.) against third-party claims, actions or liabilities (including legal costs) arising from breach of these Terms/the Customer Agreement or any violation of law when using the Services, except for MakesEvent's wilful misconduct or gross negligence.
Limitation of liability
We are not liable for any indirect, incidental or consequential damages (including loss of revenue, business or profit). To the maximum extent permitted by law, the maximum liability per subscription term is the total service fees paid by the customer.
Confidentiality
All information provided by MakesEvent relating to the Customer Agreement and the event (including participant lists) is confidential, for the customer's use only, and must not be passed to third parties.
"Confidential Information" means information marked as confidential or that should reasonably be regarded as confidential (excluding public information, prior holdings or lawful third-party provision). Both parties agree to protect Confidential Information and not disclose or use it without authorisation (MakesEvent may disclose to its affiliates or necessary suppliers).
Intellectual property
The customer acknowledges that MakesEvent owns all right, title and interest in the Services, the systems and all modifications and derivative works, including all intellectual property. MakesEvent or its licensors retain all copyright, trademark, patent and other rights.
The customer must not disclose MakesEvent's proprietary information, reverse-engineer, copy or use it for competitive purposes.
The customer grants MakesEvent a royalty-free, perpetual, non-exclusive, non-transferable and irrevocable licence to use the customer's intellectual property (including photos, videos, branding and trademarks) to perform contractual obligations and for marketing (unless revoked by written notice). The customer warrants such use does not infringe third-party rights.
The customer also grants us the right to use event attendee data for analytics and business operations, processed in accordance with the Privacy Policy; the customer may request deletion at any time.
Prohibited conduct
The customer must not:
- access our systems or data without authorisation;
- restrict other users from using the Services;
- post unlawful, defamatory, obscene, threatening or otherwise inappropriate content;
- post spam, viruses or harmful programs.
Payment terms
- All payments are non-refundable and non-transferable once paid (except where required by law).
- Subscription fees are charged automatically per the selected plan (monthly or annually). The customer may cancel anytime in the back office; the next billing cycle will not be charged.
- If a subscription payment is overdue, the account automatically enters restricted mode until payment is completed, during which paid features are unavailable.
General provisions
- Amendments: MakesEvent may amend these Terms from time to time and will notify the customer as soon as practicable. New terms take effect from the notice date.
- Governing law: This agreement is governed by Hong Kong law, and the parties agree to the exclusive jurisdiction of the Hong Kong courts.
- Entire agreement: The Customer Agreement constitutes the sole agreement between the parties.
- Non-assignment: The customer may not assign rights or obligations without MakesEvent's prior written consent.
- Independent contractors: The parties are independent contractors.
- Severability: An invalid provision does not affect the others.
- Conflict: Where these Terms conflict with the Customer Agreement, the Customer Agreement prevails.
- Electronic signatures: Electronic signatures have equal legal effect.
Language versions
This document is provided in both Chinese and English. In the event of any inconsistency or ambiguity between the Chinese and English versions, the English version shall prevail.
